The framework behind every decision
Axiant’s Corporate Governance Plan sets out the charters and policies adopted by the Board to guide how the Company operates. It covers the Board Charter, Code of Conduct, committee charters and the policies governing continuous disclosure, risk management, securities trading, diversity, whistleblower protections, anti-bribery and privacy.
Together these documents establish clear accountability and controls that are proportionate to the risks of gold exploration, and align with the ASX Corporate Governance Principles and Recommendations (4th Edition).
Measured against the ASX standard
The Corporate Governance Statement discloses how Axiant follows the ASX Corporate Governance Council’s Principles and Recommendations (4th Edition), recommendation by recommendation. Where a recommendation is not followed, the Company explains why and sets out the alternative practices adopted in its place.
Given the current size of the Board and the scale of operations, the full Board carries out the duties that would ordinarily sit with separate audit and risk, remuneration and nomination committees, under the written terms of reference in the Governance Plan.
